These Terms and Conditions govern the use of www.nexadesignstudios.com and describe the general terms for services provided by Nexa Design Studios LLC (“we,” “us,” or “our”).
Individual projects are subject to the proposals, agreements, and written approvals accepted by both parties. If a project-specific agreement conflicts with these terms, the project-specific agreement takes precedence.
1. Services
We provide creative and digital services, including logo and brand identity design, graphic design, website design and development, e-commerce, mobile app design, SEO, social media management, animation, video editing, printing, hosting, and website maintenance.
Only the services and deliverables specified in your accepted proposal are included in your project.
2. Pricing and Project Scope
Pricing is provided individually according to project requirements. Requesting a quote does not obligate you to purchase services.
The scope, deliverables, fees, and payment schedule will be agreed upon before work begins. Additional features, pages, concepts, or services outside that scope may require a separate quote and revised timeline.
3. Client Responsibilities
You agree to provide accurate information, necessary project materials, and timely feedback.
You are responsible for ensuring that content you provide—including text, images, logos, videos, and other assets—can lawfully be used for the project.
Before approving publication, final delivery, or printing, please review all content, including spelling, contact details, claims, links, and design specifications.
4. Payments
Payment amounts and due dates are stated in your proposal or invoice. No-upfront-payment arrangements apply only where expressly agreed.
Third-party costs, including domain registration, hosting, premium software, stock assets, advertising, printing, and shipping, are included only if specified.
Overdue payments may result in work or delivery being paused after notice. Any applicable taxes or client-paid transaction charges will be identified where relevant.
5. Revisions
Revision terms are stated in the project proposal. Where unlimited revisions are agreed, they apply to the original brief and agreed deliverables.
A new creative direction, additional deliverable, or expanded scope may require a separate agreement. Changes requested after final approval or production may incur additional charges.
This does not limit any obligation to correct work that does not meet the agreed specifications.
6. Timelines and Delays
Project timelines depend on the scope, receipt of materials, timely approvals, and third-party availability.
Delays in client feedback or changes to project requirements may affect delivery dates. We will communicate material delays and discuss revised timelines where necessary.
7. Cancellation and Refunds
Cancellation requests should be made in writing.
Refunds and cancellation charges are determined by the project agreement, completed work, authorized expenses, and applicable law.
If no separate cancellation terms were agreed, we will provide an accounting of work completed and committed costs and return any unearned prepaid balance. Authorized third-party purchases or production costs may be nonrecoverable once committed.
8. Ownership and Intellectual Property
Ownership and usage rights in final deliverables are specified in the project agreement. Any agreed copyright transfer will be documented in writing and will take effect after full payment unless otherwise agreed.
Unused concepts, drafts, editable source files, and working files are included only where specified. Our pre-existing tools, methods, and reusable components remain our property.
Third-party fonts, stock assets, plugins, software, and other licensed materials remain subject to their respective licenses.
Trademark searches, registration, and legal clearance are not included unless expressly agreed.
9. Portfolio and Confidentiality
We may display completed work and testimonials where authorized by the client or the project agreement.
Please identify confidentiality requirements or launch restrictions before work begins. Nonpublic project information will be used for project delivery and related business purposes and shared only with those supporting that work or as required by law.
10. Websites, Hosting, and Maintenance
Domains, hosting platforms, plugins, payment gateways, and other third-party services have their own fees, terms, and technical limitations.
Ongoing maintenance, backups, security monitoring, and updates are included only where agreed in writing.
Changes or outages affecting third-party platforms may require additional work outside the original project scope. Specific accessibility, privacy, security, or industry compliance requirements must be identified and agreed as part of the project.
11. SEO and Marketing Results
Search rankings, website traffic, engagement, leads, and sales depend on factors beyond our control, including competition, budgets, platform policies, and algorithm changes.
We do not guarantee specific rankings, follower counts, leads, sales, or revenue. Testimonials reflect individual experiences and do not guarantee similar results.
12. Printing and Production
Colors shown on screens may differ from printed results because of display settings, materials, and production processes.
Clients are responsible for reviewing and approving proofs before production. Production and shipping estimates depend on the relevant providers.
Please report damaged, defective, or incorrect items promptly so we can investigate and discuss an appropriate remedy.
13. Website Use
You must not use this website for unlawful purposes, attempt unauthorized access, distribute malicious software, or interfere with its operation.
Website content and portfolio examples may not be copied, redistributed, or commercially reused without permission from the relevant rights holder.
14. Liability
We will perform agreed services with reasonable care and skill.
To the extent permitted by applicable law, we are not liable for indirect or consequential losses arising from website use or our services.
Nothing in these terms excludes liability that cannot legally be excluded or limits mandatory consumer rights.
15. Disputes
If you have a concern, please contact us so we can attempt to resolve it promptly and in good faith.
Any agreed governing law or dispute-resolution procedure will be stated in the applicable project agreement. Otherwise, applicable law determines the relevant rights and procedures.
16. Changes to These Terms
We may update these terms and publish the revised version on this page.
Changes do not retroactively modify an existing project agreement without the parties’ agreement.
